01 Acceptance of Terms
By accessing or using the website and services provided by Dental IT MSP ("Company," "we," "our," or "us"), you agree to comply with and be bound by these Terms & Conditions. If you do not agree with these terms, please do not use our website or services.
These Terms apply to all visitors, clients, prospective clients, and anyone accessing our website.

Dental IT MSP provides professional IT services for dental practices, including but not limited to:
- Managed IT Support
- Network Management
- Cybersecurity Services
- Cloud Backup & Disaster Recovery
- Microsoft 365 Services
- Server Installation & Management
- Hardware Procurement
- Dental Software Support
- VoIP Phone Systems
- Security Camera Solutions
- IT Consulting
The scope of work, pricing, response times, and deliverables are defined in the applicable Service Agreement, Quote, Proposal, or Statement of Work.
03 Client Responsibilities
Clients agree to:
- Provide accurate information regarding their IT environment.
- Maintain valid software licenses.
- Provide reasonable access to systems, hardware, and premises.
- Designate an authorized contact for IT-related decisions.
- Notify us of significant infrastructure changes.
Failure to meet these responsibilities may affect service delivery.
04 Quotes, Fees & Payment
Service fees are outlined in approved quotations, invoices, or service agreements.
Unless otherwise stated:
- Payments are due according to the invoice terms.
- Late payments may result in suspension of services.
- Interest may apply to overdue invoices where permitted by law.
- Pricing may be adjusted with at least 30 days' notice for recurring services.
05 Confidentiality
We understand that dental practices handle confidential patient information.
While providing our services, we may have incidental access to information protected under applicable privacy legislation, including Ontario's Personal Health Information Protection Act (PHIPA).
We will only access information necessary to perform contracted services and will maintain strict confidentiality.
Where required, additional Confidentiality Agreements or Data Processing Agreements may be executed.
06 Service Availability
We make reasonable efforts to provide reliable services.
However, we do not guarantee:
- Continuous website availability
- Uninterrupted IT services
- Error-free operation
- Compatibility with all third-party products
Service interruptions caused by third-party providers, internet outages, manufacturer failures, cyberattacks, natural disasters, or events beyond our control are excluded from liability.
07 Warranties
Unless expressly stated in writing:
- Services are provided on an "as available" basis.
- We make no warranties regarding third-party software or hardware.
- Manufacturer warranties remain the responsibility of the manufacturer.
08 Limitation of Liability
To the fullest extent permitted by law, Dental IT MSP shall not be liable for:
- Loss of profits
- Business interruption
- Data loss
- Revenue loss
- Indirect or consequential damages
- Cyber incidents caused by third parties
- Hardware failures outside our control
Our total liability shall not exceed the amount paid for the affected services during the six (6) months preceding the claim.
09 Intellectual Property
All website content, including:
- Text
- Graphics
- Logos
- Images
- Documents
- Software
- Website design
remains the property of Dental IT MSP unless otherwise stated.
No content may be copied, reproduced, modified, or distributed without prior written permission.
10 Third-Party Products & Services
We may recommend or resell products or services provided by third-party vendors.
We are not responsible for:
- Third-party software defects
- Manufacturer delays
- Licensing changes
- Cloud provider outages
- Vendor policy changes
Any warranties are provided solely by the applicable vendor.
11 Website Use
You agree not to:
- Attempt unauthorized access to our systems.
- Upload malicious software.
- Use automated tools to scrape website content.
- Violate applicable laws while using our website.
- Interfere with website operation or security.
We reserve the right to restrict access where misuse is detected.
12 Suspension & Termination
We reserve the right to suspend or terminate services for:
- Non-payment
- Breach of contract
- Abuse of our staff
- Security threats
- Illegal activity
Upon termination, clients remain responsible for all outstanding balances.
Where practical, we will cooperate in transferring services to another provider.
13 Changes to These Terms
We may modify these Terms & Conditions at any time.
Updated versions will be posted on this page with the revised "Last Updated" date.
Continued use of our website or services constitutes acceptance of the updated terms.
14 Governing Law
These Terms & Conditions shall be governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Any legal disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
